Razorpay Partner Authorization & Acceptance

1. Partner Authorization

We hereby appoint the Partner to perform the following actions on our behalf using our account with Razorpay Software Private Limited ("Razorpay") ("Razorpay Account"):

Authorized Actions

• Create and view Payments (limited to Payment Gateway)
• Create and manage Payment Links
• Create and manage Subscriptions
• Create and manage QR Codes
• Create and view Refunds
• View Settlements
• View Disputes

2. Limitation of Liability

We acknowledge and agree that Razorpay shall not, under any circumstances, be held liable for any actions or omissions of the Partner carried out through our Razorpay Account, including but not limited to:

• Negligence
• Fraud
• Misconduct
• Any act of omission or commission

It is further clarified that any dispute arising from the use of our Razorpay Account shall be resolved solely between the Partner and us, and Razorpay shall not be a party to such disputes.

3. Indemnity

We agree to protect, defend, indemnify, and hold harmless Razorpay, its promoters, partner banks, clients, attorneys, employees, officers, and directors from and against all losses, costs, liabilities, claims, damages, and expenses of every kind arising out of or relating to:

• Any act or omission of the Partner; and/or
• Any claim brought against Razorpay by any third party, including the Partner.
